, including any related services, applications, or tools (collectively, the “Services”).
By accessing or using Mastermindz, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Platform.
- About Mastermindz
Mastermindz is a talent platform connecting clients (“Clients”) with senior consultants and agencies (“Consultants”) for professional projects.
Mastermindz acts solely as a facilitator and intermediary—we do not employ, manage, or supervise Consultants. All contracts and deliverables are directly between Clients and Consultants.
- Eligibility
You must:
Be at least 18 years old.
Have the authority to enter into a binding contract.
Use the Platform in compliance with all applicable laws and regulations.
We reserve the right to suspend or terminate any account that violates these conditions.
- Account Registration
To use Mastermindz, you must create an account and provide accurate and up-to-date information.
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
You agree not to share your login credentials or allow others to use your account.
- Platform Use
You agree to use Mastermindz only for lawful purposes and to:
Post genuine project requirements (as a Client).
Offer genuine consulting or agency services (as a Consultant).
Avoid misrepresentation, spam, or fraudulent activity.
Not upload, post, or share any harmful, illegal, or infringing content.
- Relationship Between Parties
Mastermindz is not a party to the agreements between Clients and Consultants.
Consultants are independent contractors, not employees, agents, or representatives of Mastermindz.
Clients are responsible for defining project scope, deliverables, and payments directly with Consultants.
Mastermindz is not liable for any disputes, quality issues, or non-performance arising between the parties.
- Payments and Fees
All payments between Clients and Consultants must be processed through the Platform unless otherwise authorized in writing by Mastermindz.
Mastermindz may charge service fees or commissions as applicable.
Fees are displayed transparently at the time of contracting or payment.
Mastermindz may withhold payments or suspend accounts in case of disputes, fraud, or policy violations.
- Refunds and Disputes
Refunds, if applicable, will be processed according to the project’s contract terms and Mastermindz’s dispute resolution policies.
Mastermindz may mediate disputes but is not obligated to resolve them.
The final responsibility for resolving disputes lies with the Client and Consultant.
- Intellectual Property
Consultants retain ownership of their pre-existing intellectual property.
Unless otherwise agreed, deliverables created during a project become the property of the Client upon full payment.
Users must not use or distribute content from the Platform without authorization.
- Confidentiality
Both Clients and Consultants agree to:
Keep all project-related and business information confidential.
Not disclose or use confidential information for any purpose outside the agreed project scope.
- Prohibited Activities
You must not:
Use the Platform for illegal, misleading, or malicious purposes.
Circumvent Mastermindz by making direct payments or engagements outside the Platform.
Post or transmit malware, spam, or offensive material.
Misrepresent identity, skills, or qualifications.
- Limitation of Liability
Mastermindz provides the Platform “as is” without warranties of any kind, express or implied.
We are not liable for:
Any loss, damages, or delays caused by Consultants or Clients.
Service interruptions, technical issues, or data loss.
Any indirect, incidental, or consequential damages arising from your use of the Platform.
Your sole remedy for dissatisfaction with the Platform is to discontinue use.
- Indemnification
You agree to indemnify and hold harmless BIZLABZ LLC, its affiliates, and officers from any claims, liabilities, damages, or expenses arising from:
Your use of the Platform.
Your violation of these Terms.
Any dispute between you and another user.
- Termination
We may suspend or terminate your account without prior notice if:
You violate these Terms.
Your activity poses a risk to the Platform or other users.
Required by law or regulation.
Upon termination, your access will be revoked, but any ongoing obligations under existing contracts may still apply.
- Modifications
Mastermindz reserves the right to update or modify these Terms at any time. Updated Terms will be posted on the website, and continued use of the Platform constitutes acceptance of the updated Terms.
- Governing Law and Jurisdiction
These Terms are governed by the laws of the United Arab Emirates.
Any disputes shall be subject to the exclusive jurisdiction of the courts of Sharjah, UAE.
